Terms of Service.
These terms are the agreement between Sunny Regards and the brokerage that uses it. By creating an account or using the service, you agree to them on behalf of your brokerage.
The service
Sunny Regards is a transaction management platform for real estate brokerages. It organizes listings and deals into stages, tracks documents and tasks, syncs a connected team mailbox, and uses AI to classify messages, link them to transactions, and draft suggested replies. Where enabled, it also sends approved emails and SMS messages on the brokerage’s behalf.
Personal information handled by the service is governed by our Privacy Policy, which forms part of these terms.
Eligibility
Sunny Regards is offered to licensed real estate brokerages and agents, and to the staff they authorize. You must be at least 18 years old and able to enter into a binding agreement on behalf of your brokerage.
Accounts and admin responsibilities
Each brokerage designates one or more admins. Admins decide who gets an account, what role they hold, which connected mailboxes they can read, and whether sending from a mailbox is enabled. Admins are responsible for keeping that access current and for removing people who leave the brokerage.
Everyone with an account is responsible for activity under it. Keep your sign-in method secure and tell us at once if you believe an account has been compromised. A person who connects a Gmail mailbox confirms they are authorized to share that mailbox with their brokerage team.
Acceptable use
You agree not to use Sunny Regards to:
- Send unlawful, deceptive, harassing, or unsolicited email or SMS. Commercial electronic messages sent through the service must comply with Canada’s Anti-Spam Legislation (CASL), including consent, identification, and unsubscribe requirements.
- Upload content you do not have the right to use, or that infringes someone else’s rights.
- Interfere with the service, probe its security, or access data belonging to another brokerage.
- Resell the service or use it to build a competing product.
- Break any law that applies to you, including real estate licensing rules and privacy law.
Your data
The brokerage owns the data it and its staff put into Sunny Regards, including transaction records, documents, and messages synced from connected mailboxes. Sunny Regards processes that data only to provide and improve the service, as described in the Privacy Policy. We do not sell it and we do not use Google user data to train AI models.
You are responsible for having the rights and consents needed to place data in the service, including consent from clients and mailbox owners where the law requires it. When the agreement ends, you can ask us to delete your data as described in the Privacy Policy.
AI outputs
Sunny Regards uses AI models to classify messages, extract details from documents, and draft replies. Those outputs are suggestions. They can be wrong, incomplete, or out of date, and they are not legal, financial, or professional advice. A person must review every AI output before relying on it, and every outbound email requires explicit approval by a designated admin before it is sent. The brokerage remains responsible for what it sends and for the accuracy of its records.
Availability and changes
We work to keep the service available and secure, but we do not promise uninterrupted operation. Maintenance, third-party outages (including Google, Cloudflare, Supabase, and model providers), and events outside our control can affect availability. We may add, change, or retire features. If a change materially reduces what the service does, we will give reasonable notice.
Fees
Fees, billing periods, and payment terms are set out in the order form or written agreement between your brokerage and Sunny Regards. Unless that agreement says otherwise, fees are payable in Canadian dollars, are non-refundable, and do not include applicable taxes.
Termination
Either party may end the agreement as set out in the order form, or on 30 days’ written notice if no term is specified. We may suspend or end access immediately if these terms are seriously breached, if an account is used to send unlawful messages, or if continued operation would create a security risk. On termination, connected mailboxes are disconnected, tokens are revoked, and your data is deleted as described in the Privacy Policy.
Disclaimers and limitation of liability
The service is provided as is and as available. To the extent permitted by law, Sunny Regards disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.
To the extent permitted by law, Sunny Regards is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, arising from use of the service. Our total liability for any claim is limited to the fees the brokerage paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited under applicable law.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. Any dispute will be brought in the courts of Ontario, sitting in Ottawa, and each party consents to that jurisdiction.
